Article 1 Name

This Club is called "NAGOYA TOKYU HOTEL Fitness Club" (hereinafter referred to as "This Club").

Article 2 Location

The Club is located within the Nagoya NAGOYA TOKYU HOTEL, 6-8 Sakae 4-chome, Naka-ku, Nagoya.

Article 3 Operation and Management

The facilities of this Club are operated by NAGOYA TOKYU HOTEL Co., Ltd. (hereinafter referred to as the "Hotel").

Article 4 Purpose

The Club aims to promote the physical and mental wellbeing of its members and users and promote their overall health through the use of the various facilities within the Club, as well as to be a dignified and cheerful club.

Article 5 Membership Conditions

The individuals named in the following Article as Individual Members, Corporate Members and Family Members (collectively referred to as "Members") are those who meet the following criteria and have been approved by the Hotel to join the Club.

Applicants must be a resident of Japan and be 18 years of age or older.

2

Those who have no illnesses that restrict exercise and are capable of managing their own health.

3

Those who have the dignity and social credibility to be members of this club.

4

Anyone who agrees to abide by the club rules, bylaws, NAGOYA TOKYU HOTEL usage regulations, and other matters stipulated by the hotel.

5

Able to maintain good relationships among members and be cooperative.

6

Those who do not have tattoos.

7

Anyone who is not a member of a criminal organization or under their control, or has close ties with a criminal organization.

8

Those who have never been sentenced to imprisonment or more.

9

Those who have never taken illegal drugs such as narcotics or stimulants.

10

Those who do not belong to a company related to an organized crime group (for corporate members, the corporation or other organization joining cannot be a member of an organized crime group or have not been a member of an organized crime group for the past five years).

11

Those who are not members of corporate racketeers, fraudsters pretending to be involved in social movements, or special intelligence violent groups.

12

Those who do not have any other issues that the Company deems inappropriate.

Article 6 Types of Membership

This Club is a membership-based club. Anyone who agrees with the Club's aims, accepts the Club Rules and Bylaws and other matters stipulated by the Hotel, and whose membership is approved by the Hotel, is considered a Member of the Club. Members are categorized as follows:

Individual Membership: For individuals, and must be registered.

Corporate membership: For corporations, and must be registered.

3

Family Membership: Only the spouse and first-degree relatives of an Individual Member are eligible to apply, and the membership must be registered.

The Club may, in the future, define types of membership other than those set out in the preceding paragraph, depending on the hotel's utilization situation.

Article 7 Membership Procedures

The procedures for joining the Club shall be as set forth below.

Those who wish to join the Club (or in the case of corporate members, the named person) must submit the Club's designated membership application form, go through procedures such as an interview, undergo a health check at a medical institution designated by the Club, and submit a health certificate certified by a doctor.

The Hotel will review whether or not an applicant meets the membership eligibility requirements and may accept or reject an application at its sole discretion.
In addition, there is no need to give reasons for disapproval.
In addition, for corporate membership, review and approval will be conducted for both the corporation and the named individual.

The Club will notify applicants of the outcome of their application.

Those whose applications are approved shall, based on notification from the Club, pay the membership fee stipulated in Article 8, the membership guarantee deposit stipulated in Article 10, and the first year's annual membership fee to the designated financial institution by the due date specified by the Hotel, and will acquire membership status when the Hotel confirms the payment.

The Hotel will promptly provide a written copy of these Membership Rules to each person whose membership has been approved.

When the Hotel changes these Rules, it will provide the Members with a written notice of the effective date, the fact of the changes and the details of the changes.

Article 8 Membership Fee

The membership fee will be the amount stipulated in the bylaws and will not be refunded under any circumstances.
However, this does not apply in the case of Article 17, paragraph 4.

Article 9 Annual Fees

Members are required to pay the annual membership fee set out in the separate bylaws regardless of whether they use the facilities or not.

Members shall pay their annual membership fee to the hotel using the payment method specified in the separate bylaws.

The Hotel will refund the annual membership fee within one month after the procedures set out in the separate Bylaws have been completed only in the following cases:

If you receive a full refund of your annual membership fee pursuant to Article 17, Paragraph 4.

When your membership is terminated in accordance with Article 12 and any prepaid annual membership fees are refunded on a pro rata basis for the period following the date of termination of your membership.
However, in the case of paragraph (4) of the same article, no refund will be made.

Article 10 Membership Deposit

The membership deposit shall be an amount stipulated in the separate bylaws, and the payment method shall be the same as the membership fee.
If you pay the membership deposit, you will be issued a membership deposit receipt.

The membership deposit is interest-free and will remain unchanged for five years from the time of joining.
However, in the event of unavoidable circumstances such as a natural disaster or other geographical event, the deferral period may be extended.

The membership deposit will be returned after the grace period set forth in the preceding paragraph has elapsed, but only in the case where the member withdraws from the membership, within two months of the date of submission of the withdrawal notice.

If there are any outstanding annual membership fees or other dues, the hotel reserves the right to deduct these without the member's consent.

Anyone who has their membership deposit returned will automatically lose their membership.

When a member indicates an intention to cancel his/her membership, when a petition for provisional attachment, seizure, provisional disposition, disposition, compulsory execution or auction as enforcement of a security right is filed, when bankruptcy proceedings are commenced, a petition for the commencement of corporate reorganization proceedings or the commencement of special liquidation is filed, or when a bill or check is dishonored, the member will automatically become due and payable all of his/her obligations to the Company, and the Company will be able to offset all unperformed debts such as annual membership fees, locker fees, etc., and will refund any remaining amount after the offsetting.

If a Member loses the Membership Deposit Certificate stipulated in Paragraph 1 of this Article, it will be reissued in accordance with the procedures set out in the separate Bylaws.

Article 11 Membership Card

The Club will issue a membership card to each Member once all registration procedures have been completed.
Members shall handle their membership cards in accordance with the provisions of each section.

Membership cards must be personalized and may not be used by anyone other than the person named on them.

Members must present their membership card when using the facilities of the Club.

Members may not transfer or lend their membership cards to others.

4

If a Member loses his/her membership, he/she must promptly return his/her Membership Card.

5

If a Member loses his/her Membership Card, he/she must immediately apply for a reissue to the Hotel in accordance with the procedures separately stipulated in the Bylaws. The Member will be responsible for the actual costs associated with the reissue.

Article 12 Termination of Membership

A member will lose his/her membership status if:

Death (Individual Member, Corporate Member, Family Member)

Dissolution of a corporation

Withdrawal

Expulsion

5

Change of name on membership

For family members, when the original individual member loses his/her membership status

7

Disbanding the Club

8

If you are unable to continue your membership due to injury or illness

9

If you are no longer able to use the Club due to permanent residence overseas, etc.

Article 13 Special Provisions for Membership Deposit

If a Member loses his/her membership for any of the following reasons, even during the period of measures set forth in Article 10, he/she may receive a refund of his/her membership deposit at the rate and according to the procedures separately set forth in the Bylaws, subject to approval by the Hotel.

Death (Individual Member, Corporate Member, Family Member)

If you are unable to continue your membership due to injury or illness

If you are no longer able to use the Club due to permanent residence overseas, transfer, etc.

Expulsion

In addition, in the event of death as described in paragraph 1 above, the return will be made to the legal heir or other person with legitimate rights in exchange for the membership security deposit receipt, but if the return is deemed inappropriate, the hotel may not be able to make the return. Furthermore, the hotel shall not be held responsible for any trouble that may occur after the return.

Article 14 Non-transferability of membership

Membership of the Club is personal to the individual and, except as provided for in Article 15, cannot be transferred, resold, loaned or used as collateral to any other person.

Article 15 Change of Membership Name

A Member may change the name on his/her membership certificate only in the cases set forth in the following paragraphs, and with the approval of the Hotel, by following the procedures in Article 7. However, this does not apply if there are any outstanding annual membership fees or other payments.

Individual Member: When changing the name to a spouse or a relative within the first degree of kinship

Corporate Membership: When changing the name of the person who signed the membership to another person within the same corporation

Family Membership: When changing the name of an individual member to a spouse or a first-degree relative

The above name changes are only available to those aged 18 or over.
The name change fee will be determined separately in the detailed rules.

Article 16 Adjournment

If a member is unable to use the club for more than six months due to unavoidable circumstances such as a long-term business trip, working overseas, or injury or illness, he/she may apply for a leave of absence for that year if he/she wishes.

Members must submit a notice of suspension and obtain approval from the Club.

A member may take a leave of absence by paying one-sixth of the annual membership fee for that period (prorated by month).

A Member on leave will not be able to use the Club or enjoy any benefits.

In principle, a member on leave may reinstate at the time of annual renewal when the reason for leave is no longer applicable, but in the case of a short-term leave approved by the club, the member may reinstate at any time. In this case, the annual membership fee will be charged on a monthly basis from the month of reinstatement.

The payment method in the preceding paragraph (4) shall be the same as the annual membership fee.

Article 17 Withdrawal

If a Member wishes to withdraw from the Association for personal reasons, or if the Member falls under any of the provisions of Article 12, or if the Member has been expelled pursuant to Article 18, the Member may do so by submitting a notice of withdrawal (except in cases of expulsion), returning the Membership Card and Membership Deposit Receipt, and settling any outstanding balances.

If there are any outstanding annual fees or other dues, they must be paid in full.

If you have any other debts to pay to the hotel and you fail to pay them, your membership deposit will be used to offset these debts.

Regardless of loss of membership, the membership deposit will not be returned until the expiration of the measures period set out in Article 10, Paragraph 2.

A Member may unconditionally terminate the Agreement in writing up to eight days after becoming a Member as stipulated in Article 7, Paragraph 4.

In the case of the preceding paragraph, the Hotel will refund the full amount of the membership fee, membership guarantee deposit and annual membership fee received. However, expenses related to the use of the facilities and the cost of purchased goods will not be refunded. In this case, the refund method will be subject to Article 10, Paragraphs 2 and 4.

Article 18 Expulsion, etc.

If the Hotel determines that a Member falls under any of the following items, the Hotel may suspend or expel the Member's membership. In the event of expulsion, the Member will be asked to immediately return his/her membership card. The effect of suspending or expelling a Member's membership will also apply to Family Members.

If payment of annual membership fees or facility usage fees is overdue for more than three months from the due date specified in the separate bylaws.

If the Club facilities are intentionally damaged.

3

If you violate these rules, bylaws, or other terms of use stipulated by the hotel.

4

If the reputation or credibility of the Club or the hotel is damaged or disorderly.

5

If it becomes clear that a false statement was made regarding the membership eligibility conditions set out in Article 5 when applying for membership.

6

If the hotel determines that your health condition clearly makes you unsuitable for use of the Club.

7

When words, actions or behaviour are found to be detrimental to the dignity and dignity of a member.

8

If it becomes clear that a person is an anti-social force, or if it has not been five years since that person ceased to be an anti-social force.

9

Any officer (meaning an employee, director, executive officer, or person of equivalent status who executes business) of the corporation to which the member belongs is a member of an anti-social force.

In addition, if it becomes clear that a Member is coexisting with or involved with antisocial forces, such as by allowing antisocial forces to join the Club using his/her name.

11

If it becomes clear that you have taken illegal drugs such as narcotics or stimulants.

12

If it becomes clear that a Member has previously violated the Club Rules and Regulations and has withdrawn from the Club.

13

Any other case that becomes clear that is similar to any of the preceding items.

14

When the requirements of Article 9 of the Bylaws apply.

Article 19: Methods and Restrictions on Facility Use

Members and visitors as defined in the following paragraph may use the facilities of the Club by paying the designated usage fee. They must use the facilities in accordance with the usage regulations as set forth in the bylaws.

If the Hotel determines that any of the following applies to you, you will be prohibited from using the facilities.

Those with tattoos or tatoos.

2

Those who have a contagious disease or other illness that may be transmitted or spread to others.

3

Those who are deemed unable to use the facilities normally due to drinking or other reasons.

4

Those who have been prohibited or restricted from exercising by a doctor.

5

Organized crime groups, companies related to organized crime groups, corporate racketeers, social activists, or organized crime groups with special intelligence, or persons similar to these, or members of these groups (hereinafter collectively referred to as "anti-social forces").

6

Those who have not yet passed five years since they ceased to be members of anti-social forces.

Article 20 Visitor Use

The Hotel may, depending on the availability of the facilities, allow use of the Facilities only by persons accompanied by a Member or introduced by a Member with the purpose of registering as a Member with prior notice, Hotel guests, and persons approved by the Hotel (hereinafter referred to as "Visitors").

Visitor fees and usage will be set out in separate bylaws.

Depending on the usage status of hotel facilities, we may ask you to make a reservation in advance, limit the usage time, or refuse your use.

Article 21 Closure of facilities

The Hotel reserves the right to close all or part of the Club facilities if any of the following circumstances occur and the Hotel determines that it is impossible or extremely difficult to continue business:

When caused by natural disasters, earthquakes, or other external events.

2

When laws and regulations are enacted, amended or abolished, or due to administrative guidance.

3

In the event of a significant change in social or economic conditions, or other unavoidable circumstances.

4

When repairing or renovating a facility.

5

If the hotel determines that it is impossible to continue business due to management conditions or other reasons.

In the event of the abolition of the Club, the Hotel will refund the Membership Deposit in full without interest in accordance with the method of refund set out in Article 10, Paragraph 4.
In this case, there will be no special compensation such as a refund of the membership fee.

The Company shall not be obligated to provide any special compensation or damages other than those set forth in the preceding paragraph.

Article 22 Responsibilities

1

The hotel shall not be liable for any accidents, theft, injury or other damage to persons or property that occur within the premises of the Club, except for accidents for which the hotel is clearly responsible.

2

Members use the Club facilities at their own risk.

3

If a member causes damage to the Club or a third party due to reasons attributable to the member when using the Club facilities, the member must immediately take responsibility for such damage.

Corporate Members will be jointly liable if a named member becomes liable for damages to the hotel as a result of actions taken within the Club, or if the member becomes liable for any other reason to the hotel.

If a Member is obligated to pay damages to the Hotel as a result of an act performed within the Club by any person as specified in Article 20, or if the Member is obligated to pay any other debt to the Hotel regardless of the reason, the Member will be jointly and severally liable.

Article 23 Changes

If there are any changes to the information provided on the membership application form, the member must notify the club promptly.

2

Members shall bear all responsibility for any changes that may arise from failure to submit a change notification.

Article 24 Detailed Rules

Any matters not stipulated in these rules and regulations, as well as any detailed rules necessary for the conduct of business, will be determined separately by the hotel.

Article 25 Amendment

Any amendments or changes to these Club Rules shall be in accordance with the stipulations of the Hotel, and shall apply to all Members from the date on which any amendments or additions to these Club Rules (including bylaws) are posted in a designated location within the Club facilities.

2

Members shall not raise any objections, assert any rights, or make any other claims regarding amendments or changes to these rules and regulations, NAGOYA TOKYU HOTEL Terms of Use, or any other matters stipulated by the Hotel.

Article 26 Prohibition of Interference in Management

Members may not participate in the running of the Club for any reason.

Article 27 Notification Method

Any notice or advance notice required by these Constitution and Bylaws shall be given by posting in a designated location in the Club or by mail, or both.

2

The mailing in the preceding paragraph will be considered completed when it is sent to the address, contact information and name that the member has provided to the Club.

Article 28 Governing Law

These rules and regulations and any other prescribed rules shall be governed by and construed in accordance with the laws of Japan.

Article 29 Protection of Personal Information

The Hotel will manage the personal information of Members held by the Company in accordance with the Personal Information Protection Policy separately stipulated by the Hotel.
